These Terms of Service (“Terms”) govern your access to and use of the website located athttps://apexintell.co (the “Site”) and the services provided by Apex Intelligence (“Apex,” “we,” “us,” or “our”), including CRM automation, database reactivation services, reputation management, inbound call automation, and conversational chatbot solutions (the “Services”). By using the Site or Services, you agree to these Terms.
If you do not agree, do not use the Site or Services.
You must be at least 18 years old and able to form a binding contract to use the Site or Services.
3) Services Overview
Apex provides digital automation and business workflow solutions that may include (without limitation):
Database reactivation and re-engagement workflows
Google review and reputation management workflows
Inbound call automation and routing
Website chatbots and conversational automations
CRM configuration, integrations, and automation services
Specific deliverables, timelines, pricing, and scope are defined in your proposal, statement of work, invoice, or written agreement (“Order”).
4) No Guarantees / Results Disclaimer
Apex provides tools, systems, and implementation services intended to improve business operations. However, we do not guarantee outcomes such as revenue increases, lead volume, conversion rates, review counts, appointment volume, or rankings. Results depend on many factors outside our control, including your business, market conditions, sales process, and customer responsiveness.
5) Client Responsibilities
You agree to:
Provide timely access to necessary accounts, systems, and information required to deliver Services (e.g., CRM access, phone settings, website access, business profiles).
Ensure the accuracy and legality of information you provide to Apex.
Use the Services in compliance with applicable laws, including privacy, anti-spam, and telecom rules.
Maintain any required consents for outreach communications (SMS, email, calls) in your own business operations.
6) Acceptable Use
You may not use the Site or Services to:
Send unlawful, deceptive, or abusive communications
Transmit spam or unsolicited messages in violation of applicable laws
Infringe intellectual property or privacy rights
Attempt to gain unauthorized access to systems or data
Introduce malware, bots, scraping tools, or harmful code
We may suspend or terminate access for violations.
7) SMS / Messaging Terms
If you provide your phone number, you agree that Apex may contact you by SMS for service-related communications such as scheduling, reminders, follow-ups to ongoing conversations, and support updates.

8) Third-Party Services
Apex may integrate or work with third-party services (e.g., CRM platforms, telephony providers, analytics tools, calendar tools, email services). Third-party services are governed by their own terms and policies. Apex is not responsible for third-party outages, errors, policy changes, or performance.
9) Fees, Payment, and Billing
Fees are described in your Order. Unless otherwise stated:
Payments are due upon receipt or as stated on the invoice.
Late payments may result in paused work or suspension of Services.
Setup fees and implementation fees are generally non-refundable once work begins.
If you have a subscription, it renews per the billing terms shown at checkout or on your invoice unless cancelled under the cancellation policy.
10) Cancellation and Termination
Either party may terminate Services according to the terms in your Order. If no Order exists, either party may terminate by providing written notice.
Upon termination:
You remain responsible for fees incurred up to the termination date.
Any work completed up to that point remains billable.
Access to systems may be removed once final payments are settled.
11) Intellectual Property
Our materials: Apex retains ownership of its templates, frameworks, automations, code snippets, and proprietary methods developed prior to or outside your project.
Your materials: You retain ownership of your branding, content, customer lists, business data, and assets you provide.
Project deliverables: Unless otherwise stated in your Order, upon full payment you receive a license to use the deliverables created for you. You may not resell or redistribute Apex proprietary templates or systems as standalone products without written permission.
12) Confidentiality
If we receive non-public business information from you, we will use reasonable efforts to keep it confidential and use it only to provide Services, except where disclosure is required by law.
13) Limitation of Liability
To the maximum extent permitted by law:
Apex will not be liable for indirect, incidental, special, consequential, or punitive damages.
Apex’s total liability for any claim related to the Site or Services will not exceed the amounts you paid Apex for the Services in the three (3) months before the event giving rise to the claim.
14) Indemnification
You agree to indemnify and hold harmless Apex from claims, liabilities, damages, and expenses arising from:
Your misuse of the Services
Your violation of laws or third-party rights
Content or communications you send using systems we implement for you
15) Changes to the Site or Terms
We may update the Site or these Terms from time to time. The “Last updated” date will reflect changes. Continued use after changes means you accept the updated Terms.
16) Governing Law
These Terms are governed by the laws of the Province of Ontario and applicable Canadian federal laws, without regard to conflict-of-law principles. Any disputes will be brought in the courts located in Ontario, Canada, unless otherwise required by law.
